Our Governance

MOSAIC is governed by a board of directors. The members blend their expertise to guide our strategic direction and impact. They also ensure that the organisation’s vision and mission is managed effectively.

To ensure that there are proper checks and balances, MOSAIC has added another layer of governance in which there are Members of MOSAIC whose responsibility is to select members of the board of directors. The Members also ensure that the board of directors are accountable and responsible for the decisions they take, and annually they renew the Board’s membership at an Annual General Meeting.

Our Board members are drawn from people of high credibility and expertise, including regional and international experts. Each person serves on the board in their individual capacity. The individuals are expected to reflect diversity in terms of a) South Africa and global, b) gender and age, c) race and ethnicity, d) range of competencies including strategic, programmatic, fundraising, communication, marketing, learning/evaluation, legal, and financial. 

The Executive Director of MOSAIC reports to the Board. The Board appoints, supports, and holds accountable the Executive Director of MOSAIC, and it may delegate to him/her other specific powers and responsibilities. The Board meets at least four times a year, to enable it to exercise adequate oversight and support. The usual checks and balances regarding mandates and the operations of the Board, its term limits, and transparency will be maintained and/or strengthened and are reflected in MOSAIC’s Governance Charter.

As MOSAIC envisages scaling its operations into the African continent, beyond the borders of South Africa, the board and operational leadership will map out how to expand the governance structures of MOSAIC over the next five years.
